Terms and Conditions

Welcome to No Dramas and our website at https://nodramas.ai (our “Platform”). These Terms and Conditions (the “Terms”) constitute a legal agreement between you and No Dramas governing your access to and use of our AI Receptionist, Review Management, messaging, call routing, and related automation software ("Services").

We licence use of our Services to you on the basis of these Terms. We do not sell our Services to you, and we remain the exclusive owner of our Platform at all times.

1. ABOUT US

Contracting Entity: We are Trueheart Agency Pty Ltd trading as No Dramas (“we”, “us”, or “our”).

Contact Us: Email support@nodramas.ai.

Effective Date: These Terms were last updated on September 1, 2026 and represent the current valid version.

Trademarks & IP: The name "No Dramas", the website https://nodramas.ai, and related logos, emblems, software code, and brand marks are the registered or common law trademarks and copyright of Trueheart Agency Pty Ltd.

2. SCOPE AND APPLICABILITY

These Terms govern all access methods and commercial models offered by No Dramas, including:

  • Self-service subscriptions, free trials, and promotional access;
  • Inbound call answering, AI voice-receptionist workflows, after-hours handling, call forwarding, and live transfers;
  • Outbound calling, appointment reminders, lead follow-ups, and review management campaigns;
  • SMS, WhatsApp, social messaging, and email automations;
  • Integration workflows involving Customer Systems (e.g., CRMs, calendars, ticketing platforms, and databases); and
  • Agency, sub-account, white-label, or resold deployments managed on behalf of third-party clients.

3. TERMS OF USE & ACCOUNT ELIGIBILITY

Binding Agreement: By accessing the Platform, creating an Account, or subscribing to any plan, you agree to be bound by these Terms. If you do not agree, you must cease using the Platform immediately.

Authority: If you access or use the Services on behalf of a company, agency, franchise, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.

Age Requirement: You must be at least 18 years old or possess full legal capacity under the laws of Victoria, Australia to register an Account or use the Services.

Account Security: You are responsible for safeguarding your credentials, account logins, API keys, and access tokens. You accept full responsibility for all activities occurring under your Account, including actions taken by your employees, contractors, agents, or unauthorized third parties (unless directly caused by our security breach).

Incorporated Policies: Your use of our Platform is also governed by the following integrated policies:

4. FREE ACCESS, TRIALS, AND PROMOTIONS

Trial Terms: We may offer free trials, beta features, or test environments at our sole discretion. Free access automatically terminates at the earliest of:

  • The conclusion of the specified trial period;
  • The date you convert to a paid subscription; or
  • Unilateral termination or discontinuation by us.

Trial Restrictions: You must not abuse free trials or promotional credits (e.g., by creating duplicate accounts, scraping platform logic, or running unapproved production workloads without converting to a paid plan).

5. SERVICE FEES, PAYMENTS, AND TAXES

Fee Structures: Access to our Services requires payment of recurring subscription fees, implementation/setup fees, and/or consumption-based Usage Fees (e.g., call minutes, carrier fees, phone numbers, and SMS/messaging volume). Current pricing is displayed on our Platform or set out in an applicable order summary.

Payment Obligations: Fees are due on or before the due date specified. Recurring fees are billed automatically via authorized payment processors (e.g., Stripe) using your saved payment method.

Late Payment & Suspension: Failure to pay Fees on time may result in immediate rate-limiting, account suspension, or termination of access.

Fee Revisions: We reserve the right to amend our subscription rates or usage pricing upon providing at least thirty (30) days' advance written notice. Continued use of the Services after the effective date of a fee revision constitutes acceptance.

Goods and Services Tax (GST): All Fees are exclusive of statutory taxes unless stated otherwise. Where applicable, Australian Goods and Services Tax (GST) under A New Tax System (Goods and Services Tax) Act 1999 (Cth) and any relevant government levies will be added to invoiced charges and are payable by you.

Billing Disputes: If you dispute an invoice in good faith, you must notify us in writing before the payment due date detailing the specifics of the dispute. Undisputed amounts must be paid in full. Initiating an unauthorized credit card chargeback without contacting us first may result in immediate service suspension and recovery of chargeback processing costs.

6. REFUNDS AND CANCELLATION

Refund Policy: Except where required under the Australian Consumer Law (ACL) or as expressly stated on an authorized checkout page:

  • All subscription fees, usage charges, telephony fees, carrier pass-through fees, setup charges, and setup/implementation fees are non-refundable.
  • Cancelling a recurring subscription halts future renewal charges but does not entitle you to a prorated refund for the remainder of the current billing cycle.

Downgrades: Account downgrades take effect at the start of the next billing cycle and do not generate pro-rata credits or refunds.

7. AI RECEPTIONIST PERFORMANCE AND HUMAN OVERSIGHT

AI System Dynamics: Our Services utilize artificial intelligence models to interpret speech, route calls, generate conversational text/audio, summarize interactions, and trigger workflow actions. You acknowledge that AI outputs may occasionally contain errors, delays, misinterpretations, or unexpected responses ("hallucinations").

Human Oversight & Testing: You are solely responsible for:

  • Configuring, reviewing, testing, and approving all AI receptionist scripts, system prompts, knowledge bases, business rules, routing matrices, and fallback channels before going live;
  • Maintaining appropriate human oversight and manual fallback procedures for critical, high-risk, or time-sensitive operational tasks; and
  • Verifying the accuracy of AI-generated notes, appointment bookings, and call summaries before taking consequential business decisions.

Emergency & Safety-Critical Disclaimer: The Services are NOT designed, certified, or intended for emergency dispatch, 000 emergency calls, life-safety, medical triage, law enforcement, or critical infrastructure functions. You must maintain independent primary communication channels for emergency or urgent medical, safety, or legal matters.

8. TELECOMMUNICATIONS, CALLING, AND SPAM COMPLIANCE

If you use the Services for voice call processing, automated answering, outbound calling, lead follow-ups, SMS, or messaging, you represent and warrant that your configurations strictly comply with all applicable local and international telecommunications and messaging laws.

Compliance Standards: You must strictly abide by:

  • The Privacy Act 1988 (Cth) and Australian Privacy Principles;
  • The Spam Act 2003 (Cth) (including opt-in requirements and working unsubscribe mechanisms);
  • The Do Not Call Register Act 2006 (Cth);
  • State laws regarding call recording and wiretapping (including Victorian surveillance legislation); and
  • International telecommunications rules (e.g., TCPA, CAN-SPAM, CTIA guidelines, ePrivacy, or GDPR where handling international end-users).

Consents & Disclosures: You are solely responsible for obtaining and maintaining valid consent from all callers, message recipients, and end-users before initiating automated calls, texts, or recordings. You must ensure that legally required AI usage disclosures (e.g., informing callers they are interacting with an AI voice agent) and recording notices are embedded into your call flows.

Outbound Campaign Approvals: No outbound automated calling or messaging campaign may be launched until you have configured approved compliance parameters, verified opt-in consent records, established do-not-call suppression handling, and ensured that all campaign materials are fully compliant with relevant sector laws (including financial service, debt collection, or legal restrictions).

9. PHONE NUMBERS AND CARRIER SERVICES

Number Licensing: Phone numbers provided or provisioned through the Platform are licensed to you for use during your active subscription term and are not sold to you. We reserve the right to modify, suspend, or reclaim phone numbers if required by telecommunications carriers, regulatory orders, non-payment, or account inactivity.

Carrier Network Limitations: You acknowledge that call delivery, SMS transmission, number masking, and call forwarding depend on third-party telecommunications networks and carriers. We do not guarantee uninterrupted call completion or carrier delivery rates and are not responsible for carrier-level call blocking, spam tagging, network degradation, or filtering.

10. UPLOADING CONTENT AND DATA RESPONSIBILITIES

Customer Ownership: As between you and No Dramas, you retain ownership of all Customer Data, customer lists, call scripts, business records, and content uploaded or transmitted to the Platform.

License to Operate: You grant No Dramas a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, transmit, and display Customer Data solely to the extent necessary to operate, maintain, protect, and deliver the Services.

Data Quality & Legality: You represent and warrant that you possess all necessary intellectual property rights, consents, and legal bases to submit Customer Data to the Platform. We accept no responsibility for the accuracy, legality, or completeness of data provided by you or your end-users.

Anonymized System Analytics: We may generate, analyze, and use aggregated, de-identified, and anonymized metrics derived from platform usage (e.g., call volume trends, interaction logs, and performance metrics) to optimize system operations, enhance language model responses, and improve security, provided such data cannot identify you or any individual.

No AI Model Training on Private Data: We do not sell Customer Data, nor do we permit raw customer call transcripts or proprietary client records to be used to train publicly available third-party artificial intelligence models without your explicit written opt-in.

11. ACCEPTABLE USE POLICY

You agree to use our Platform solely for lawful business operations. You must not, and must not permit any third party or sub-account to:

  • Use the Services for illegal, deceptive, fraudulent, harassing, defamatory, or harmful purposes;
  • Conduct unauthorized telemarketing, cold-calling in violation of do-not-call rules, spamming, or fraudulent review manipulation;
  • Impersonate emergency services, government authorities, or licensed professionals where you lack credentials;
  • Reverse-engineer, decompile, disassemble, mirror, scrape, or extract source code, underlying software architecture, or prompts from the Platform;
  • Probe, scan, overload, or launch cyber-attacks (including denial-of-service attacks) against our servers or infrastructure; or
  • Facilitate payment card processing by speaking or storing unencrypted PCI-DSS credit card numbers directly within AI voice transcripts or audio logs unless specifically configured through authorized secure gateway integrations.

12. INTELLECTUAL PROPERTY RIGHTS

Platform IP: All legal rights, title, and interest in and to the Platform—including all underlying software, AI orchestration logic, templates, user interface designs, APIs, workflows, and documentation—remain the exclusive intellectual property of Trueheart Agency Pty Ltd and its licensors.

AI Output Ownership: Subject to your full payment of applicable Fees and compliance with these Terms, you own the specific textual call summaries, transcript notes, and data classifications generated for your Account (“AI Output”). This ownership does not extend to the underlying software code, baseline prompt structures, or platform architectures used to generate such output.

Feedback: If you submit feedback, feature suggestions, or error reports to us, you grant us an unrestricted, royalty-free, perpetual right to use and implement that feedback across our Services without obligation or payment to you.

13. LIVE SYSTEM ACTIONS AND THIRD-PARTY INTEGRATIONS

System Integrations: The Platform may interface with your external CRM systems, calendar scheduling tools, webhooks, and third-party software ("Customer Systems").

User Authorization: You are responsible for granting, managing, and monitoring integration access permissions and API credentials. We are not liable for data corruption, lost calendar bookings, incorrect CRM record updates, or failed actions resulting from misconfigured Customer Systems, invalid credentials, or third-party API downtime.

14. AGENCY AND SUB-ACCOUNT ACCOUNTS

If your subscription tier permits agency, white-label, or multi-tenant client sub-accounts:

  • You are fully responsible for managing, configuring, and supporting your client sub-accounts.
  • You must ensure that all client sub-accounts abide by obligations at least as protective of No Dramas as set out in these Terms.
  • You remain solely liable for all usage, billing charges, compliance breaches, and activities originating from your managed client sub-accounts.

15. AUSTRALIAN CONSUMER LAW AND WARRANTIES

Australian Consumer Law (ACL): Our Services come with guarantees that cannot be excluded under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Nothing in these Terms excludes, restricts, or modifies any statutory guarantee, right, or remedy conferred on you by the ACL that cannot be excluded by law.

Disclaimer ("As-Is"): Subject to your non-excludable statutory rights under the ACL:

  • The Platform, Services, and AI Outputs are provided on an "as is" and "as available" basis without express or implied warranties of any kind.
  • We do not warrant that the Services will operate uninterrupted, error-free, completely secure, or that all AI voice interactions, call transfers, or review automations will achieve a specific commercial or conversion outcome.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

Consequential Damages Excluded: Neither Trueheart Agency Pty Ltd nor its directors, officers, employees, or suppliers shall be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, loss of revenue, lost savings, business interruption, loss of call data, lost business opportunities, reputational harm, or regulatory fines—arising out of or in connection with the platform or services.

Aggregate Liability Cap: Our total cumulative financial liability arising out of or related to these Terms or the supply of the Services (whether in contract, tort including negligence, statute, or otherwise) is strictly limited to the greater of:

  • The total Fees paid by you to No Dramas in the twelve (12) months immediately preceding the event giving rise to the liability; or
  • AUD $100.00.

Resupply Remedy: Where our liability for a breach of a statutory guarantee cannot be excluded but can be limited by law, our liability is strictly limited (at our election) to resupplying the Services or paying the reasonable cost of having the Services resupplied.

17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Trueheart Agency Pty Ltd, No Dramas, and its officers, directors, employees, agents, and licensors from and against any third-party claims, liabilities, losses, damages, regulatory fines, penalties, and legal expenses (calculated on a solicitor-client basis) arising out of or relating to:

  • Your breach of these Terms or applicable local/international laws;
  • Customer Data, call scripts, audio prompts, or instructions provided by you;
  • Allegations that your outbound campaigns, SMS practices, or call recording activities violated spam, privacy, telecommunications, or surveillance laws;
  • Misleading claims, service failures, or fulfillment disputes between you and your end-customers/callers; or
  • Any unlawful activity conducted under your Account credentials or client sub-accounts.

18. SUSPENSION AND TERMINATION

Suspension Rights: We reserve the right to immediately suspend or restrict access to your Account, sub-accounts, phone numbers, or active workflows without prior notice if:

  • You fail to pay due Fees;
  • You breach these Terms or our Acceptable Use Policy;
  • We reasonably suspect illegal activity, automated spam, or unauthorized system access; or
  • Suspension is required by law enforcement, carrier networks, or regulatory agencies.

Termination: You may cancel your subscription at any time through your dashboard settings or by emailing support@nodramas.ai in accordance with Section 6. We may terminate your account for convenience by providing thirty (30) days' written notice.

Post-Termination Data: Upon account termination, your right to access the Platform ceases. We reserve the right to delete or anonymize stored Customer Data, transcripts, and call audio in accordance with our standard retention schedule and Privacy Policy.

19. FORCE MAJEURE

Neither party shall be liable for failure or delay in performing its obligations under these Terms (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, acts of war, terrorism, civil unrest, government intervention, widespread internet/cloud outages, telecommunications carrier network failure, or major third-party AI framework disruptions.

20. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law: These Terms are governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law principles.

Good Faith Discussions: In the event of any dispute or claim arising out of or in connection with these Terms, the parties agree to first engage in good-faith negotiations to resolve the matter informally.

Exclusive Jurisdiction: If a dispute cannot be resolved within sixty (60) days of written notice, both parties irrevocably submit to the exclusive jurisdiction of the courts and tribunals of Victoria, Australia, and courts of appeal from them.

21. GENERAL LEGAL PROVISIONS

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and No Dramas regarding the Platform and replace all prior agreements, representations, or understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to render it valid, and the remaining provisions will continue in full force and effect.

Waiver: Our failure or delay to enforce any right or provision under these Terms does not constitute a waiver of that right.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a related entity or in connection with a corporate restructuring, merger, or asset sale.
